Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Casa Curators website, platform, or AI-powered estate concierge services. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

These Terms constitute a binding legal agreement between you (“User,” “Client,” or “you”) and Casa Curators LLC, a California limited liability company (“Casa Curators,” “we,” “us,” or “our”), governing your access to and use of casacurators.ai and all related platforms, applications, and services (collectively, the “Services”).

By using our Services, you represent that you are at least 18 years old, have the legal capacity to enter into this agreement, and are using the Services for lawful purposes. If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity.

2. Services & AI Concierge

2.1 Overview

Casa Curators provides luxury estate intelligence and management services, including property documentation, vendor coordination, maintenance scheduling, and access to our AI-powered estate concierge (the “AI Concierge”) through the HAVEN Estate Intelligence Platform.

2.2 Service Availability

We strive to maintain consistent availability of our Services but do not guarantee uninterrupted access. Scheduled maintenance, technical issues, or circumstances beyond our control may result in temporary unavailability. We are not liable for any loss resulting from Service interruptions.

2.3 Service Changes

We reserve the right to modify, suspend, or discontinue any feature of the Services at any time. We will provide reasonable notice of material changes to paying clients.

3. AI Concierge: Disclaimer & Limitations

3.1 Reference Tool Only

The AI Concierge is an artificial intelligence tool designed to assist users with property-related queries by referencing a structured property knowledge base. The AI Concierge is a reference tool only. It does not constitute and should not be relied upon as professional advice of any kind, including but not limited to legal, financial, engineering, architectural, or safety advice.

3.2 No Warranty of Accuracy

AI Concierge responses are generated algorithmically from available data and may be incomplete, outdated, or inaccurate. Casa Curators does not warrant that the AI Concierge will provide correct, complete, or up-to-date information at any given time. The underlying property knowledge base reflects conditions as of the date of last update and may not reflect subsequent changes to the property, its systems, vendors, or applicable codes.

3.3 Your Duty to Verify

You are solely responsible for independently verifying any information provided by the AI Concierge before taking action, particularly with respect to:

• Location or operation of utility shutoffs, safety systems, or emergency equipment
• Vendor contact information, licensing, pricing, or availability
• Maintenance schedules, warranty terms, or manufacturer specifications
• Applicable local building codes, permitting requirements, or HOA rules
• Any matter where acting on incorrect information could result in property damage, injury, financial loss, or legal liability

3.4 Not a Substitute for Licensed Professionals

The AI Concierge does not replace the judgment of licensed contractors, engineers, architects, electricians, plumbers, or other licensed professionals. You should always engage qualified professionals for work requiring a license, permit, or expertise, and for any situation involving a safety risk.

4. Accounts & Access

4.1 Account Responsibility

If you create an account with Casa Curators, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@casacurators.ai of any unauthorized access or security breach.

4.2 Accurate Information

You agree to provide accurate, complete, and current information when creating an account or engaging our Services, and to promptly update that information as needed.

4.3 Access Credentials

Any property access credentials, alarm codes, or security information provided to Casa Curators for purposes of the estate audit or ongoing Services will be stored with enhanced security controls and shared only with personnel who require access to perform the Services.

5. Intellectual Property

5.1 Casa Curators IP

The HAVEN Platform, including all underlying software, AI models, algorithms, templates, methodologies, visual design, and proprietary documentation frameworks, is owned by Casa Curators and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership of Casa Curators’ intellectual property to you.

5.2 Your Property Data

The specific content of your Property Knowledge Base, including your property information, vendor contacts, maintenance history, and estate documentation, belongs to you. Casa Curators holds a limited license to host, process, and use such data solely to provide the Services.

5.3 No AI Training on Client Data

Casa Curators will not use your specific property data to train, fine-tune, or improve AI models without your prior written consent. Aggregated, de-identified operational data may be used internally to improve the platform, provided it cannot reasonably identify you or your property.

5.4 Feedback

If you submit feedback, suggestions, or ideas about the Services, you grant Casa Curators a perpetual, royalty-free license to use and incorporate that feedback without obligation to you.

6. Prohibited Uses

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Reverse engineer, decompile, or attempt to extract the source code of the Platform or AI systems
• Attempt to gain unauthorized access to any portion of the Services or related systems
• Scrape, crawl, or otherwise extract data from the Platform without written permission
• Use the Services to transmit spam, malware, or other malicious content
• Impersonate Casa Curators or any other person or entity
• Interfere with or disrupt the integrity or performance of the Services
• Share your account credentials with unauthorized third parties
• Use the Services in any manner that could damage Casa Curators’ reputation or brand

7. Limitation of Liability

7.1 Liability Cap

To the maximum extent permitted by applicable law, Casa Curators’ total cumulative liability to you for any and all claims arising under or related to these Terms or the Services, whether in contract, tort, negligence, strict liability, or otherwise, shall not exceed one hundred U.S. dollars ($100.00) for users of the free or marketing website, or for paying clients, the total fees actually paid by you to Casa Curators in the three (3) calendar months immediately preceding the event giving rise to the claim.

7.2 Exclusion of Consequential Damages

In no event shall Casa Curators be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, loss of data, business interruption, or cost of substitute services, even if Casa Curators has been advised of the possibility of such damages.

7.3 Third-Party Services

Casa Curators is not liable for the acts, omissions, quality of work, or representations of third-party vendors, contractors, or service providers, including those referenced in the AI Concierge or listed in a property knowledge base.

7.4 Disclaimer of Warranties

Except as expressly stated, the Services are provided “as is” and “as available,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Indemnification

You agree to indemnify, defend, and hold harmless Casa Curators and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of:

• Your use of, or inability to use, the Services
• Your reliance on AI Concierge outputs without independent verification
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Any content or data you submit through the Services

9. Termination

Casa Curators may suspend or terminate your access to the Services at any time, with or without cause or notice, if we reasonably believe you have violated these Terms. You may terminate your account at any time by contacting us at support@casacurators.ai.

Upon termination, your license to use the Platform ends and we may delete your account data, subject to our data retention practices described in the Privacy Policy. Sections 5, 7, 8, 10, and 11 of these Terms survive termination.

10. Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

10.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved through informal negotiation shall be settled by binding arbitration administered by JAMS pursuant to its Comprehensive Arbitration Rules, with proceedings conducted in Los Angeles County, California. The arbitrator’s decision shall be final and binding.

10.3 Class Action Waiver

You agree that any claims will be brought only in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. You waive any right to a jury trial.

10.4 Informal Resolution

Before initiating arbitration, you agree to contact us at legal@casacurators.ai and attempt to resolve the dispute informally for a period of thirty (30) days.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any executed Client Services Agreement, constitute the entire agreement between you and Casa Curators regarding the Services.

11.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

11.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.

11.4 Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on this page with an updated effective date. Your continued use of the Services after changes become effective constitutes acceptance. If you do not agree to updated Terms, you must stop using the Services.
